Foreign-invested enterprises are enterprises established in China in accordance with Chinese law, jointly invested by Chinese and foreign investors, or solely invested by foreign investors. According to the different proportions of shares and shares held by foreign investors in the registered capital and assets of the enterprise and other legal characteristics, foreign-invested enterprises can be divided into four types:<br \/>\n<!--more--><\/p>\n<p>\u5408\u8d44\u7ecf\u8425<br \/>\n\u7531\u4e2d\u5916\u5408\u8425\u5404\u65b9\u5171\u540c\u6295\u8d44\u3001\u5171\u540c\u7ecf\u8425\uff0c\u5e76\u6309\u7167\u6295\u8d44\u6bd4\u4f8b\u5171\u62c5\u98ce\u9669\u3001\u5171\u8d1f\u76c8\u4e8f\u7684\u4f01\u4e1a\u3002\u5176\u4e3b\u8981\u6cd5\u5f8b\u7279\u5f81\u662f\uff1a\u5916\u5546\u5728\u4f01\u4e1a\u6ce8\u518c\u8d44\u672c\u4e2d\u7684\u6bd4\u4f8b\u6709\u6cd5\u5b9a\u8981\u6c42\uff1b\u4f01\u4e1a\u91c7\u53d6\u6709\u9650\u8d23\u4efb\u516c\u53f8\u7684\u7ec4\u7ec7\u5f62\u5f0f\u3002\u6545\u6b64\u79cd\u5408\u8425\u79f0\u4e3a\u80a1\u6743\u5f0f\u5408\u8425\u3002<\/p>\n<p>\u5408\u4f5c\u7ecf\u8425<br \/>\n\u4e2d\u5916\u5408\u4f5c\u5404\u65b9\u901a\u8fc7\u5408\u4f5c\u4f01\u4e1a\u5408\u540c\u7ea6\u5b9a\u5404\u81ea\u7684\u6743\u5229\u548c\u4e49\u52a1\u7684\u4f01\u4e1a\u3002\u5176\u4e3b\u8981\u6cd5\u5f8b\u7279\u5f81\u662f\uff1a\u5916\u5546\u5728\u4f01\u4e1a\u6ce8\u518c\u8d44\u672c\u4e2d\u7684\u4efd\u989d\u65e0\u5f3a\u5236\u6027\u8981\u6c42\uff1b\u4f01\u4e1a\u91c7\u53d6\u7075\u6d3b\u7684\u7ec4\u7ec7\u7ba1\u7406\u3001\u5229\u6da6\u5206\u914d\u3001\u98ce\u9669\u8d1f\u62c5\u65b9\u5f0f\u3002\u6545\u6b64\u79cd\u5408\u8425\u79f0\u4e3a\u5951\u7ea6\u5f0f\u5408\u8425\u3002<\/p>\n<p>\u5916\u8d44\u4f01\u4e1a<br \/>\n\u5176\u4e3b\u8981\u6cd5\u5f8b\u7279\u5f81\u662f\uff1a\u4f01\u4e1a\u5168\u90e8\u8d44\u672c\u5747\u4e3a\u5916\u5546\u51fa\u8d44\u548c\u62e5\u6709\u3002\u4e0d\u5305\u62ec\u5916\u56fd\u516c\u53f8\u3001\u4f01\u4e1a\u548c\u5176\u4ed6\u7ecf\u6d4e\u7ec4\u7ec7\u5728\u4e2d\u56fd\u5883\u5185\u8bbe\u7acb\u7684\u5206\u652f\u673a\u6784\u3002<\/p>\n<p>\u5916\u5546\u6295\u8d44\u5408\u4f19<br \/>\n\u5176\u4e3b\u8981\u7684\uff0c\u4ee5\u53ca\u5916\u56fd\u4f01\u4e1a\u6216\u8005\u4e2a\u4eba\u4e0e\u4e2d\u56fd\u7684\u4f01\u4e1a\u6216\u8005\u7ecf\u6d4e\u7ec4\u7ec7(\u4e0d\u5305\u62ec\u4e2a\u4eba)\u5728\u4e2d\u56fd\u5883\u5185\u8bbe\u7acb\u7684\u5408\u4f19\u4f01\u4e1a\u3002<\/p>\n<p>Joint venture<br \/>\nAn enterprise jointly invested and operated by Chinese and foreign parties, and sharing risks and profits and losses in accordance with the investment ratio. Its main legal characteristics are: there are statutory requirements for the proportion of foreign investors in the registered capital of the enterprise; the enterprise adopts the organizational form of a limited liability company. Therefore, this type of joint venture is called an equity joint venture.<\/p>\n<p>Cooperative operation<br \/>\nAn enterprise in which the Chinese and foreign parties agree on their respective rights and obligations through a cooperative enterprise contract. Its main legal characteristics are: there are no mandatory requirements for the share of foreign investors in the registered capital of the enterprise; the enterprise adopts flexible organizational management, profit distribution, and risk-bearing methods. Therefore, this type of joint venture is called a contractual joint venture.<\/p>\n<p>Foreign-invested enterprise<br \/>\nIts main legal characteristics are: all capital of the enterprise is invested and owned by foreign investors.
